merge two files with same first column but different second column 1

Hi All,

I've got two files, The first one is a newer file which has two columns,the first column is separated from the second column by || for example,A101||load all|

The other file has got three columns,for example,
A101||????|load all| (the middle part is Chinese translation).

There are more than 22500 lines in each of these two files,the newer one has a little more.

I want to merge these two files, by keeping both newer lines(that need to be translated) and those lines that already been translated in the old file. These two files were sorted. I tried comm command, I wasn't satisfied with the output. I wonder if anyone could help me with that, thanks in advance.
