Memtest86 error when testing 2 x 512 DDR400 Ram

I am hoping some one here is familar with memtest86 ( I have an Athlon XP 3000+, Gigabyte GA-K8TV800Pro MB and 2x512MB (2.5) DDR400 Ram. With both modules in the PC wil rarely boot and if it does it locks up after a short time. I have run Memtest86 on each of the module indepentantly and they pass everytime (computer runs fine with only one in also). When they are both in though I get the following output, from memtest86:

Athloon 64 (0.13) 2010 Mhz
L1 Cache: 128 16474MB/s
L2 Cache: 512K 4093MB/s
Memory: 1024M
chipset:
84K e820-Std


...and that is where is sits, it doesn't even run.

Any ideas on what the cause is?
 
You should take note of the Athlon caveats on memory speed.
There are suggestions that you can try such as adjusting memory timings that may help
