Hello,

Can someone help me understand what licensing requirements I am up against.

I am thinking of deploying SBS 2008.

I will have approximately 8 - 10 users that will be accessing Outlook through VPN and using public folders etc...

About 30-40 pop3/smtp users

and the Server will be connected to 5 pc's and 2 servers - a fie server and a web server.

The licensing options have got me confused as a monkey trying to hump a football.

Any user/device that will access any function of the server (e.g. Exchange via Mapi/POP/SMTP/RPC/Activesynce/OWA) will require a license.

Based on the detail you have provided, I would probably go with 55 user CALS for SBS standard.

A few questions:
Why would you use POP/SMTP? I recommend Outlook Anywhere.
Have you considered Hosted Exchange? There are a number of providers available. AppRiver gives you unlimited storage for $12.95/user/month. It's much easier for you to manage too since you don't need to be an Exchange expert. Plus the redundancey and SLA gaurantee's you get for that price are a steal!
Are you currently running a previous version of Exchange?
Why SBS? Are you currently running a previous version SBS?

 
Why Exchange? Check out Kerio for a cheaper option with nearly complete feature parity? :)

There are really a lot of different directions to go, and hosted Exchange is a good one.
