What do you mean by "Good" Spyware? That is a contridiction in terms.
Not all spyware is illegal? If they tell you what it will do is it still spyware?
But you are correct to be lets not say 'paranoid' but very careful.

Spyware - software which causes pop up adds according to what you look up most in order to try and get you to buy either antispyware software or products.
adware - software that installs spyware alot of times massive ammounts of it.
Neither of them are "Good" , if your looking for good anti spyware like mentioned above then here are some links to good ones.

Spyware - Software the "Spies" or sends out information about your online habits (web sites visited, key strokes, etc...)
Adware - Programs designed to present ads to users. Often times they use spyware like methodology to "phone home" and update their database on your surfing habits to provide more targeted ads.
Malware - General term for unwanted software, often times used in reference to both adware and spyware.
