Intellectual rights

Hello All I'm dealing with a stubborn client that wants to reserve all Intellectual rights to a solution I plan to develop for them. should I Allow that to happen

What I asked in the contract was that I reserve all rights to the developed solution.

Their Proposed Changes
The Client retains any and all Intellectual Rights related to the services provided by the developer for The Client.

Why do they want IP rights? Are they planning on taking the solution to the market? If they are not planning on reselling your solution I don't know why they need IP rights. I am sure they just want some kind of protection that you could not force them into some future licensing structure etc.. The only other reason I see is that if they were not happy with you for some reason they could take the source to another FM Developer. Either way it seems to me that a reasonable compromise could work. I would just be very clear about their reasons for wanting IP rights. Then be specific in the contract as opposed to just giving them full access to the solution to do whatever they want!
