The NICs in the phones and diagnostic capabilities are the main differences. Phase 2 phones will support "fancier" diagnostics in future firmware releases, enhanced diagnostic capabilities, etc. If you're buying new phones, phase 2 is about all you'll find. If buying used/refurb, you might get either unless you specify.
