HPOV ITO million dollor question

Can someone help me? I have this issue with our Unix admin who loves to play I know it all. This is the problem:
We have HPOV ITO 5.37 at my work overlooking all the NT machines. The problem is that I receive two messages in HPOV ITO for the same server,

1) Inetinfo memory consumption (###) is greater or equal to(###)

2) CPU utilization (100.00%) exceeds configured threshold (90.00%).

Do both of these messages intertwine? Are they related? If so, how? And where did you get the information? Thanks to everyone who helps in providing assistance.
