Your post is rather vague. Did you really expect someone on Tek-Tips to run through all the steps required to install Exchange 2003? There are simply too many variables for there to be a simple response to this question. It probably also belongs on the Exchange 2003 forum.
Plan the migration,test it.
Install win2k3 server, install required services, instert CD install next next next finish.
Migrate mail boxes.
Test configuration.
Done.
