A modem having a RJ-45, Hmmm that doesn't sound right....
You best make sure that what ever the device is it is a rs232 port that you are trying to connect to, because that is what is commonly refered to as a com port on a pc.
There is actually a standard somewhere for how an 8 pin modular jack pins out when used for RS-232. However, I can't find it right now and it is not always the way devices are pinned out. Terminal servers, cisco switches, and other devices use a modular 8 pin jack for serial connection. Before making a cable, you need to know what pin does what.
My suggestion would be to purchase a DB-9 to Modular adapter, Allen tel makes one, it is a DB-9 with a modular 8 pin jack in the hood. The jack is wired to 8 short pieces of wire each with a pin crimped on it. You simply push the pin into the DB-9 shell for each pin as you want it. It makes it very easy to make the adapter for whatever you need. Then, you can use a straight Cat5 patch cord for your cable between the device and the adapter at your computer and you are set.
