How do I unregister msvcrt.dll

I am trying to unregister msvcrt.dll which resides in c:\winnt\system32 under nt4. This is a control dll which will not allow me to unregister because it is in use.
I have tried regsvr32 with no luck.
Do you know of any utils or tricks that I can use to unregister the above dll and replace it with a more upto date file.??
 
Why do you need more up to date version? Can't you just install software that includes the more up to date version - that will do it for you.

Other than that - what about a batch file running as a logon script?
 
You could insert the Hard drive into another PC as a scecondary HDD and then just copy the file directly over. Be careful when replacing DLL files though!!
