Try this
Windows 98 hangs on Shutdown
Let's start from the most common causes, and work down to the lesser ones . . .
1. Start>settings>control panel> double click "sounds". In the "Events" box, click on "Exit Windows". In the "Name" box, select "(None)". Click "OK" Go back to the desktop (main screen with all the icons.) Now shut down to see if it shuts down properly.
Shuts down?
Then the sound file is corrupted. Either reinstall sound file or use a different one.
Not shutting down? Then continue:
2. Disable Fast Shutdown. Start>Run>MSconfig>Advanced>"Disable Fast Shutdown">OK.
Now reboot computer.
Shuts down?
Then there is probably a conflict between the hardware and fast shutdown.
You can leave fast shutdown disabled, but if you need it for some reason, contact your PC manufacturer for patch or a workaround.
Not shutting down? Then continue:
3. Start>setings>Control Panel> double click "System". Click on Device Manger tab. Click the (+) next to system devices. Double Click "advanced power management" then click on settings. Uncheck box "enable power management." Reboot computer.
Shuts down?
It is probably a conflict being caused by Advanced Power Management (APM).
You can disable APM, or if you need it contact your PC manufacturer.
Not Shutting down? Then continue:
4. Start>settings>control panel>double click system. Click on Performance tab. Click on File system, then click troubleshooting tab. check all boxes. Get out of that window and reboot.
Shuts down? Probably a conflict caused by the file system. Uncheck troubleshooting steps one by one, until you determine which aspect is causing problems.
Not shutting down? Then continue:
5. Check for system configuration problem. Click Start, then Run. In the box type MSconfig and hit enter. click "Advanced". Clear the following boxes in "Advanced Troubleshooting Settings": "Disable System ROM Breakpoint", "Disable Virtual HD IRQ" and "EMM Exclude A000-FFFF". Reboot.
Shuts down? It is a conflict with one of the settings we just disabled. Re-enable each in turn and reboot to narrow down the exact cause. Either leave setting disabled, or contact manufacturer for a fix. Performance may be degraded if this is left disabled.
Not shutting down? Then continue:
6. Re-enable the previous settings. Open Bootlog.txt in the root directory(C:\). Check for entries from last shutdown. Is the last entry "EndTerminate=KERNEL" ? If it is, shut it down again, it should be fine.
If the last line is:
"Terminate=Query Drivers" - it is possibly a memory manager issue (such as QEMM).
Terminate=Unload Network" - it is possibly a conflict with real-mode netowrk driver in the config.sys file
"Terminate =Reset Display" - Then disable the shadowing in bIOS. You may also need an updated video driver.
"Terminate=RIT": Possible timer-related problesm with the sound card or an old mouse driver.
"Terminate=Win32": Problem with a 32-bit program blocking a thread. Be sure to close all programs before exiting windows.

if you had installed any software try uninstalling it from safemode and restart and then try shutdown. if this doesnt work
Then uninstall if you have any anti-virus software, restart and try to shutdown or if you have Norton just disable the Norton AntiVirus Auto-Protect feature if you have norton
Enable the USB in BIOS.
Start System configuration Utility "MSCONFIG" from run and go to advance and reduce the RAM to 16MB and try to shutdown.
Try doing a scanreg/restore from command prompt.

There is a common problem with Windows 98 and shutting down.
The best solution i have found is to download and run this file.
This according to Mircosoft will patch the problem.
