I have a pix 515 with

Licensed Features:
Failover: Enabled
VPN-DES: Disabled
VPN-3DES: Disabled
Maximum Interfaces: 6
Cut-through Proxy: Enabled
Guards: Enabled
URL-filtering: Enabled
Inside Hosts: Unlimited
Throughput: Unlimited
IKE peers: Unlimited

when I tried to enable vpn-DES by upgrading the key the firewall is going
into failover standby mode.
I dont have a smartnet contract with cisco.

I will highly appreciate any help.

Have you got the free des licence fron Cisco. The 515's I've applied this to required the licence istalling in the rommon mode, unless you'r running 6.2 software.

I did have a problem where I tried to copy and paste the key into my PIX, probably due to invisible chararcters, but once type in it worked fine.

What software are you running on PIX?

I am running 6.2 software and I did installed the free
DES license from cisco. but as soon as I enable the new license the pix is going into failover stanby mode.

This is just a shot in the dark, but what if you disabled failover before you applied the license?

You could also try downgrading the IOS, then upgrading it again and installing the key during the upgrade.

Do you actualy have failover or only a single box?

It seems to me that you have received a wrong activation key. You should contact Cisco or your dealer to get another one.
