In a Windows 2000 domain with 1 Windows 2003 domain controller (working on upgrading) does the Domain Naming Master FSMO role need to be on the same machine as DNS? If so, how do I transfer this to the 2003 DC?

If I do an in-place upgrade on my first DC from 2000 to 2003 will the terminal server license server also upgrade or will I need to re-install in and all my licenses?

If I understand your question correctly, no you do not need to transfer that role in order to have multiple DNS servers, each forest only has one Domain Naming Master FSMO role holder. A quick seach in google should help you understand the roles a bit better (its always nice to get a brush up).
