If you can, try opening it on a Win9x machine. Then make a temporary copy of your data.
Take the floppy back to the XP machine and format it. You can then recopy your data back to it.
XP just does not like all brands of pre-formatted disks, nor does it always like disks formatted under Win9x. It is usually safer to let XP to a clean format before using a floppy with XP.
