Flash and HTML layers issues

I know this has probably been covered but I really need help.

I have a layer (<div>) in my html file. It has a background color and some text on it. Whenever I move the layer over my swf movie (which is also on the page) the swf is over the layer. I want the layer to be over the swf. Is this possible?

I'm experiencing the same dilemma. I have a page with
DHTML popup menu which is being obscured by a Flash movie.
On IE running under OSX, however, the menu appears over
the Flash movie, just as I'd like it to on the PC...
