In your netowrk settings, make sure File & Print sharing is enabled.

I've always found that most common problem with sharing folders in NTS40 has to do with confusion over the difference between Share permissions and Folder permissions.
When you right click on the folder, make sure you look at both tabs.
Most people will leave Share permission on Everyone, Full Control. The REAL lock down happens on the third tab with the folders where you select the users/groups and permission levels.
