FDISK HANGS

I have a system that is on RAID 1, and it is failing, so I tried to reload W2K Pro. It wouldn't format correcctly so I wanted to Fdisk and delete the first partiton and start over. The HD are WD 40GB and they pass the WD Diags. I do not want to lose the data in the 2nd partition. The fdisk fails from a Win98 boot floppy and from a CDROM.
Any ideas?
