We are going to be upgrading from Exchange 5.5 to Exchange 2003. We have a W2K domain and are not planning on upgrading it. Can I still run Exchange 2003 on a Windows 2003 server? Will I lose some functionality since the AD version is 2K, not 2003?

If you go for a Windows 2003 server, you will need AD on there too if you want to put Exchange 2003 on it.
Alternatively, you could install Exchange 2003 on a Windows 2000 server, that may be easier to integrate and migrate since you have the 2000 experience already.
