Exchange 2000 Environment?

We are looking at implementing Exchange 2000. On our network are 3 companies (A, B and C). A and B both logon to a Novell 3.12 server, Company C logs onto a Novell 4.1 server.

If Company C upgrades their server to Windows 2000 Server and we setup the AD on it. Will we be able to setup Exchange 2000 on another server and then all 3 companies will be able to send/receive/collaborate? Or would we need to upgrade ALL of our servers before we can use Exchange 2000?
