For a start you need a file containing an image with the word 'draft' in it I guess.
Pull this in via Format | Sheet | Background.
Your options from there are affected by the version of Excel you're using. Pre-2000 you need to create an image that is already grayed out. Latter version have inbuilt 'watermark' formatting.
