DOS Prompt: ACCESS DENIED

I am running W2K server and when I try to access a command line I get the message "ACCESS DENIED" You can't even see cmd.exe in the winnt\sys32 dir. It acts like a rights issue however, I am logged on as an administrator. What gives??? Anyone?
