gonna sound stupid...but we had a problem similar with QB 4.5...it wouldn't close but would lock up after being used a few minutes..an update to the video driver resolved the issue...believe it or not...
You might try creating a shortcut for it and by adjusting the properties you should get it to work. You might try the different compatabilites and also protect teh memory its using.
Perhaps Cmd.exe has become corrupted, try replacing it with another copy.
Or run the System File Checker program from the Run Box by typing.....Sfc /Scannow in it and have your XP CD handy.
Check for possible virus infection too.
If they don't work you could try repairing windows itself by running it over itself. You will lose all your windows updates but your files will be untouched.
