Domain integration as OU

Hello,

Company A has bought company B ( remote).
Now I've to integrate the domain-B in the domain-A as OU.
That is the domain-B do not exists anymore,I configure an OU and delegate the permissions on it to Admin-B.
How could I do this, ( rename, demote,reinstall ?)as easy as possible ( of course).
