I just created a new DC, to assist the existing dc we have. Small company, 2 domains, one for web and one for everything else. The everything else domain is set at windows 2k native. that dc is win 2k3, so I am confused as to why they didnt raise it.

My question is, is there anything that should prevent me from raising the level to 2003? Anything I should watch out for?

As long as you don't have legacy clients (NT, Windows 98 and so on) you should be fine.If there is a trust between the two domains, I would recommend bothe domains be at the same level. Go to full Windows 2003 mode if you will have no Windows 2000 DC's as well.
