I am upgrading a W2K server running exchange 5.5 to Exchange 2003. Does this new server have to be a DC?

It's better that Exchange not become a DC.
Set it as server member of your domain.

ilceres is right here.

You should have Exchange on a DC because it will only query that copy of the AD database so if something corrupts in that DB your screwed as it won't attempt to find any other DC's.

If you leave it as a member server it will then query any available DC and if that goes down it will just query another one etc.
