Diamond Stealth 3 s540 PCI problems

I have a computer running both windows xp and windows 98 on two seperate hdd's, on windows 98 the card runs fine, i even have tweaaked drivers to allow for dx 8.1 support, howeever in winxp pro the card cause's lockups qquite often and for no aparent reason, IE when i click the start menu the computer will lock up for no reason.

ive tried the card in all 4 of my pci slots with the same result, and tried 3 different drivers. the card used to work fine in both win2k and winxp but now it crash's constantly. my system configuration is as follows:

P3 650
(2)128 dimms of pc100 sdram
riptide combo sound card/modem
(alt)cmi 8738 sound card, and lucent winmodem
intel i810 chipset
intel mercury motherboard(sorry i dont know the exact numbers its an hp pavillion motherboard)
8x hitachi cdrom
8gb fugitsu hdd(win98)
16gb wd caviar hdd(winxp)

i have reboot on system halt turned off and i dont get any blue screens at the time of the crash. any help would be greatly appreciated thanks

this also happens when i have disabled the intel i810 graphic controller in the hardware profile
 
i had so many problems with that gpu on win 2k, sometimes its undetected or hardware 3d disabled, or sometimes it looks like its runnin on agp. lastly i gave up native windows drivers and got a driver from DriverGuide.com that worked fine. check out their database, they have a respectable collection of drivers and such. try several versions of theirs. theyv a lot. all my legacy drivers are from there.
