Device Manager Exclamation Mark

Hi guys, one more question...

I recently installed XP pro and SP2 and am seeing 2 exlcamation marks in the Device Manager:

a)PCI memory controller
b)SM bus controller

When I try to update the drivers from the motherboard CD (Asus A8N-E Neo-4), it gives me an Access Denied error! Since I'm the admin, what's going on? I saw some other threads on the Interet with the same problem, but I couldn't find an answer.

P.S - I installed the latest Nvidia Drivers for the motherboard chipset, but had to uninstall them after XP frequently rebooted. I then reinstalled the original ones from the CD.

In safe mode, delete them and let Windows re-install them.
