CVD.exe running at 24%CPU constantly!!??

I have a Windows 2003 server that is running 6.1SP4 and a DB2 client.
We run db log backups every 2 hours from 7a-7p and a nightly full at 11p.
Server admins are seeing 24%+ CPU consumed by CVD.exe even when there are no backups running (between 7p and 11p)

Has anyone seen this before?
We have tried stopping and restarting the services but it still comes back to consume the cpu.
