Conexant Modem /drivers not detected by win2000

IS THERE ANYBODY OUT THERE who can tell me how to get my windows 2000 (upgraded from win 98SE) to,first, recognize my conexant soft 56k pci modem...
and then to make it work...
thanx in advance...

Disable com 2 in BIOS, remove all com ports and modems via device manager, in SAFE MODE.
Shutdown, pull the modem out.
Restart, shutdown.
Put the modem back in, restart, reinstall.. Cheers,
