Q. How do you communicate via modems ( not internet ) and control the remote pc ie. if need download a DB file or control the other pc's com port which is driving a control system.

I know a little about mscomm... but once dialed how do you communicate with the other pc is there an activex or has all communications have to be done via source code, like the modem hand-shaking etc...

I think that this might be a bigger question than you realize just yet <grin>.

Go and have a look for an application called Kermit, it's some modem control s/w and you can experiment with the principles you'll need (getting one computer to wait for a call etc)

Controlling the remote PC is either very easy or blazingly dificult.

Option 1 - Blazingly difficult.
Write it yourself. Don't forget to employ all of the comms specialists and project managers you'll need if you want to finish before the Next millennium.

Option 2 - Easy
Buy "Carbon Copy" or "PC Anywhere"

One option is using third party plugins. My Company purchased SaxComm soft. It has terminal emulation, file transfer, and remote control for visual basic. I found it was very easy to work with. Hope this helps. Their web page is:
