can i load ME upgrade on 98se ?

i have 98se and i just got my hands on windows ME upgrade, can i just load it overtop of 98se and it well overwrite 98 ?

Yes, but be prepared for a jump in required apace.
If you don't have too much stuff running, and can justify a fresh install, I would suggest that approach.
