Cable Modem Not Connecting with ethernet

Hi all,
I had a three PC home LAN connected linksys 4 port cable router to cable modem, no prob. MOved, tried to recreate and no joy.

Had 3Comm Cable Modem. Now a motorola surfboard sb4200. non-static IP.
1. The modem will connect to one PC (laptop Piii 800 IBM Win98) but not to my Pentium 300 Windows 98.

On the p300, had netgear NIC fa311..just bought and installed an off-brand called Trendnet, neither seemed to work with the surfboard.

winipcfg shows not getting IP address, gateway, dns, etc. on either card.
Strange thing...when surfboard "standby" engaged, will find IP address but not gateway, dhcp..
When the standby is disengaged the NIC had only the autoconfig IP address of 169.x.x.x

netgear, trendnet nics specifics:
no dns server
node type = broadcast
IP address sometimes 169.x.x, and sometimes 192.x.x.
subnet mask 255.255.255.0 (but on the lap, mask is 255.255.254.0 static)
default gateway same as IP address, blank or 255.255.255.255
no dhcp server
no primary wins server
does obtain lease with expiration

The above is direct cabling from modem to NIC.

2. Now I can't get linksys besfr41 to connect with modem, nor to neither of the two PCs. With laptop I can access web config page, but not network (laptop should recognize itself but doesn't).

Surfboard does have dhcp engaged, but I can't turn off, going to its config page does not give an option to disable dhcp.

Linksys also has dhcp. can both be engaged. When I turned disabled dhcp on linksys, I lost ability to open even the config web page.

Should I configure MAC cloning on linksys?

I'm mostly lost now. Tried several things, but nothing seemed to work.

So many probs, thanks for your advice. It has helped twice before and I'm grateful.
