Is the mobo/bios set correctly for the new chip?

Try running new chip a little slower than it should be (most mobos allow you to adjust the bus speed or multiplier to do this).

Other things to try - disconnecting most of hardware to see if will boot further - then put them back one at a time if it does.

Of course, you may have a defective new chip.
