At Boot Up (or re-Boot) an explorer window Opens [c:\windows\system32] 1

Every time I boot up or re-boot the windows\system32\ window opens up.
I can close the window (or leave it open) and every thing works ok.

This first occured Immediately after installing the WIN XP PRO OS.

What gives...

I'm sure there is a place in the REG that would fix this.

Any ideas or where do I look?
