Active Directory Installation fails on windows server 2003

I have 2 domain controllers running windows server 2000
and a workstation running windows xp pro.(domain named amatua.com)in a test eviroment.
I installed windows server 2003 R2 standard edition on a separate machine,joined it successfully to the existing domain-amatua.com.I tried to add the active directory role on the server 2003 and it failed (Active directory installation wizard cannot continue becasue the forest is not prpared for installing windows server 2003.Use the adprep command line to prepare the forest and the domain)
To resolve this issue, do I have to run the adprep on the windows 2000 domain controller that hosts all the 5 fsmo roles first before I add the active directory role to the server 2003, and where is the location of the adprep tool.
 
Make sure you run it on the DC that is running the Schema master FSMO role
