Active Directory DC migration to another Win2003

I have a server with Win2003 acting as Active Directory DC and DNS server for a domain. I want this role to be taken over by another Win2003 server I have purchased. Take note that HDD copy is out of question and many users/computers are using the current ADC.

The new server should take care of ADC objects, DNS, Domain-wide policies, TCP/IP network services (like NTP), etc fully and in one go, so that older server can be decommissioned and used for some other purpose.

I tried searching at MS and other palces but all talk about NT4/Win2K to Win2003 migration and the tips are not very helpful.

Can somebody please either give step-by-step on this or point me to a suitable link?
 
Install the new server. Run dcpromo to sort out the ADC. Install DNS then change the DNS setting on the DHCP scope to sort out DNS.
What domain wide policies have you got?

Then ultimately, dcpromo the existing server down and turn it off.
