3c2000/sk98lin NIC problem URGENT

I have a P4 machine with ASSUS P8X mother board and have RHL9. This MB has a 3c2000 (3com) Gigabyte NIC.
My kernel version is 2.4.20-8smp
When i compile and insert a vendor provided module into kernel it gives me error...

sk98lin adaptor not found. Check I/O or IRQ. can not insert module 3c2000.o

so i checked the IRQ in Bios i disabled the USB ports so as to free IRQ's. It seems most of the IRQ's are free. I can not understad what is going wrong. If the IRQ of NIC clashing with other device, how to check it Linux.

I downloaded the latest install package from SysKonnect, but it also gives me the same problem.. as per search over the net i disabled the aspi(?) functions also to free irq but it still not working...
can anybody tell me what is going wrong? or any patch/latest drivers for 3c2000/sk98lin NIC?
