I think I may have created a sticky siuation. Here's the scenario:

Existing Windows 2000 domain with a single DC. A Windows 2003 R2 server was added as a member server. The goal was to upgrade the Windows 2000 server to 2003, promote the Windows 2003 server to DC, demote the original DC, then wipe it clean and rebuild it from scratch as a second Win 2003 controller.

The problem I am having is that when I try to promote the newer 2003 server to Dc status, I get an error message:

"The Active Directory Installation Wizard cannot continue because the forest is not prepared for installing Windows Server 2003. Use the Adprep.exe command-line tool to prepare both the forest and the domain. Fore more information about using Adprep.exe see Active Directory Help. The version of the Active Directory Schema of the source forest is not compatible with the version of the Active Directory on this computer."

I think I may know why. The Windows 2003 R2 CD i used to do adprep on the 2000 server was an oem version. When I went to upgrade the 2000 server, I was reminded of the fact you can not upgrade with an oem CD. So, I grabbed a regular Windows 2003 CD (which was not R2) and performed the upgrade with it.

So, do I have mismatched versions of active directory? If I try to run adprep again on the upgraded server, it tells me it has already been run. Is there a way to force it or am I completely off-base about what the problem is?

Your schema version is whats wrong, you need to run adprep /forestprep from cd 2 of the R2 media on the upgraded AD server. Then the R2 server should join the domain.
