You won't have any problems as long as you have a domain controller still active. I did this a few months ago, promoted one of the bdc's and away it went! I built the server out to sp4, copied the exhange files I needed to the new machine (also used ntbackup on a fresh tape just to be safe)...
We used Antigen for Exchange to do that, after pulling an all nighter to recover from the loveletter virus we were able to convince the CTO to spend the 2 grand to set it up. It will filter known viruses and attachement types you specify. (Will allow you to deliver them if something is blocked...
Check and make sure you have the same service pack level on both servers and that the service account/password are correct, (though an incorrect password will generate an error in the security log as well).
