For the Grub password you'd probably have to make a boot floppy, get the machine up then you can use the grub util to change the password.
For the root password, you'd have to go look up Single User mode.
I had a similar issue once. By uninstalling both cards and removing the TCP/IP bindings, then reinstalling both cards at the same time, the issue went away.

I looked into it a few time. I would try Mandrake 9.1 and install HeartBeat. You'll need serial cables (in addition to being networked). You can set it up and monitor it through webmin.
