quick update: i have changed the boot-device to 'disk' by using following command:
OK> setenv boot-device disk
Still, when i hit ctrl+pause or ctrl+break , the #(root)prompt does not come and the OK prompt stays.

I typed 'boot' command at the 'OK' prompt. it gave following output:
{0} ok boot
Boot device: cdrom File and args:
Can't open boot device
printenv command at the OK prompt gives following ouptup:
boot-device cdrom disk net
boot-command boot...

I have tried 'setenv auto-boot? false' and then booted the server again.. but the problem persists- goes back to the OK prompt.
I have also tried 'setenv auto-boot? true and rebooted the server... same issue.
Please advise.
