Telnet is a TCP/IP service, running on a computer, that let you log in to that machine remotely (from the network), and let you type text commands (cmd session) exactly like if you were physically put in front of that machine.
Usage is obvious: you can execute on your server whatever you want...
From what type of OS are you trying to access your shared folder? Are you using the right username (one with sufficient privileges)? Are you sure that the username you use to connect is correctly defined in the W2K machine?

I had a similar problem with a Win ME machine. Our only solution (after having really tried *everything*) has been to reinstall Win98 in place of WinME.
