Open disk management, then check to see if the device is pciked up in XP. Then check the FlashD and see if the read/write access is off(little clip on side on FlashD).
Then do your updates for XP and check again if you can format through disk management.

Try installing the NIC on another PC and test the network connection.
If it logs in reistall networking, completely.
Also check your services and check to see if netlogon and dependancies are loading.
