I did the following - downloaded Rivatuner and mounted more serious cooling device. Then tuned the core clock to 300 MHz. And it worked. Dunno why, the card is supposed to work at 325 too, but it cant. Looks like Abit overdid overclocking it :D So problem solved :)

Sorry if i did not make myself clear. So at this point everything's OK and runnin. Only thing was i have seen in BIOS the +3.3V voltage on the cpu is out of range - too low. So I turned it to ignore since it keeps shutting down the computer. As lokidog said the topic line could be better :) And...
